Terms and Conditions for The Roadmap 3.0 Digital Master Resell Rights
Please carefully review these terms and conditions before purchasing or using The Roadmap 3.0 with master resell rights digital download product. Your purchase or use of this digital download product signifies your understanding and agreement to be bound by the following terms:
1. LICENSE: Upon purchasing The Roadmap 3.0 with master resell rights digital download product from, Changing Courses 11, you are granted a non-exclusive license to resell the Roadmap 3.0 to others with master resell rights. This license includes the right to sell the product as many times as you wish, retaining 100% of the profits. You may not sublicense or transfer the license without explicit written consent. This agreement, effective from the date of purchase, is between Changing Courses 11(referred to as "Licensor") and the buyer of the Roadmap 3.0 Product (referred to as "Licensee"), a Tennessee limited liability company.
Here's a simplified breakdown:
Ownership: Licensor is the sole owner of the 'Roadmap 3.0' product.
Granting Rights: Licensee wants the right to resell the product, and Licensor is willing to grant those rights, under certain conditions outlined in this agreement.
Mutual Agreement: Both parties, licensor and licensee, agree to the terms and conditions mentioned in the agreement.
Terms of License: The Licensee, by entering into this agreement, agrees to the following terms regarding the use, resale, and distribution of the "Roadmap 2.0" product (previously known as "Roadmap to Riches"), which is copyrighted by Changing Courses 11 LLC.
2. SCOPE of LICENSE AGREEMENT FOR ROADMAP TO RICHES and ROADMAP 3.0:This license agreement covers both "Roadmap to Riches" and its successor, "Roadmap 3.0." The Licensee is bound by the terms for both products. Even though "Roadmap to Riches" is being replaced, the rules in this agreement apply to both. Any violation of terms for one product is considered a violation of the entire agreement.
3. RESTRICTIONS ON INCOME CLAIMS and LICENSE REVOCATION for ROADMAP 3.0 Users of Roadmap 3.0 must refrain from creating, spreading, or endorsing any statements, advertisements, or representations—whether direct or indirect—that make projections, promises, or guarantees regarding the potential income or earnings achievable through the use of Roadmap 3.0. This license agreement explicitly prohibits the use of false or misleading content related to income claims in connection with Roadmap 3.0. Users are aware that making false, misleading, or deceptive claims about potential income may result in serious legal and financial consequences. This includes the possibility of actions by the Federal Trade Commission (FTC) due to deceptive advertising and marketing practices. Any violation of this rule will lead to an immediate revocation of the license to use Roadmap 3.0 and may result in further legal action.
4. PRODUCT INTEGRITY, COPYRIGHT, and RESALE RIGHTS GUIDELINES:
Product Integrity and Copyright:Licensee is prohibited from making any modifications, adaptations, translations, reverse engineering, decompiling, disassembling, or tampering with the Product. This includes actions such as selling parts of the product, renaming it, altering content, or changing the creator's information. Licensee is not allowed to claim ownership of the Product copyright. However, for marketing and sales purposes, Licensee may assert authorship, provided that Changing Courses 11 LLC's copyrighted material and notices are always included.
Resale Rights:Licensee has the right to resell the "Roadmap 3.0" product to end users without transferring Master Resell Rights. Additionally, the resale to other resellers is permitted.
5. DISTRIBUTION, MARKETING, and AGREEMENT TERMS:
a. Distribution Limitations:
Free Distribution Prohibition: Licensee cannot give away the Product for free or include it in a free bundle. Additional Content: Licensee may add extra content or opportunities to the Product, as long as they align with the original community agreement for "Roadmap 3.0" Changing Courses 11
Misrepresentation: Licensee must not add content that falsely represents or misinterprets the intentions, goals, or values of "Roadmap 3.0" or Changing Courses 11 LLC,
Infringement: Use of content that violates the intellectual property rights, trademarks, or copyrights of Changing Courses 11 LLC or any third party is strictly prohibited.
Unapproved Modifications: Licensee cannot make significant alterations to "Roadmap 3.0" without explicit consent from Changing Courses 11 LLC.
Unethical Practices:Opportunities or content involving unethical, illegal, or immoral practices, such as scams, misinformation, or deceptive marketing tactics, are not allowed.
Data Privacy Concerns: Introducing features or content compromising the data privacy and security of "Roadmap 3.0" users is not permitted.
b.Marketing and Promotion:Licensee commits to using ethical marketing materials and strictly prohibits false or misleading income claims. Licensee is responsible for indemnifying, Changing Courses 11,LLC from damages resulting from advertising income claims.
c.Third-Party Payment Platforms: Licensee agrees to use third-party payment platforms for sales, adhering to all their terms and conditions. Sprout Socially, LLC is not responsible for any aspect of these platforms.
d.Pricing: The originalsale price for The Roadmap 3.0 digital download product is $497.00 USD, and Licensee must ensure that promotions or discounts NEVER reduce the originial sale price of $497.00 USD.
e. Promotional Offers: Licensee can provide gifts or bonuses with The Roadmap 2.0 digital download product, ensuring they don't effectively reduce the Product's sale price below the minimum.
f.Community Guidelines:Licensee agrees to abide by community guidelines established by Changing Courses 11 LLC,
g. Agreement Amendments: This Agreement is the full understanding between Licensee and Sprout Socially, LLC and Licensee cannot modify it without written consent from Sprout Socially, LLC
h. (a) PAYMENT AND RETURN POLICY FOR "THE ROADMAP COURSE"
ALL SALES of The Roadmap 3.0 digital download product are FINAL and NON-REFUNDABLE, NO REFUNDS.
--At Sprout Socially, I strive to provide my customers with the highest quality products and services. However, it's important for our customers to be aware of our payment and return policy:
1. All transactions involving the acquisition of intangible products, such as PDF downloads, course downloads, resource materials, and online content, are conducted securely through payment gateways like PayPal or Stripe, employing SSL encryption.
2. These payment gateways provide a safe and secure platform for the use of various credit and debit cards across different countries, ensuring that your details are not stored during the transaction process.
3. Given that your purchase pertains to a digital product, it is considered "used" upon download or opening.
4. Therefore, all transactions conducted on www.sproutsocially.com are final and non-refundable. This policy extends to ALL intangible products including: PDF downloads, course downloads, resource materials, and online content reinforcing a STRICT NO REFUND STANCE.
5. NO RETURNS:Sprout Sociall LLC, does not offer returns or refunds for the 'Roadmap 3.0' product. ALL SALES ARE FINAL. Please ensure you read all product details and terms before making a purchase. NO EXCEPTIONS.
Individuals or businesses who choose to resell the Roadmap 3.0 product are under no obligation to provide a refund.
6. Reseller Responsibility: Individuals or entities that resell the 'Roadmap 3.0' product are solely responsible for their own sales and finances. Sprout Socially LLC, WILL NOT PROVIDE REFUNDS on behalf of resellers or for transactions made through resellers. Resellers are advised to clearly communicate their own return and refund policies to their customers.
7. Third-Party Sales: Sprout Socially LLC, cannot be held responsible for products sold by third-party vendors or any transactions with third parties. If you purchased a 'Roadmap 2.0' product from a third-party vendor, please contact the vendor directly for their return policy and procedures. We cannot AND will not process returns or refunds for products not purchased directly from Sprout Socially LLC.
8. Third-Party Services: Sprout Socially LLC, is not responsible for any third-party services, offers, or promotions that may be presented or offered in conjunction with the 'Roadmap 3.0' product. Any issues, disputes, or concerns related to third-party services should be directed to the respective service provider.

10. By purchasing the Roadmap 3.0, you acknowledge and agree to this return policy. We reserve the right to modify this policy at any time, and any changes will be effective immediately upon posting on our website.

It is important to note that Sprout Socially LLC reserves the right to modify any information, including, but not limited to, prices, technical specifications, terms of purchase, and product or service offerings. Such modifications may occur without prior notice. Rest assured, this policy is in place to maintain the integrity of our transactions and provide a transparent understanding of our no-refund stance. i. Non-Disparagement: Licensee agrees not to make or encourage defamatory or disparaging statements about Changing Courses 11 or its products.
j. Confidentiality: Licensee commits to treating all proprietary information related to the Product and Changing Courses 11 as confidential.
k. Audit Rights: Changing Courses 11 LLC retains the right to audit Licensee's records related to the Product to ensure compliance with this Agreement.
l. Quality Control: Licensee agrees to maintain high standards of quality in the use, sale, and distribution of the Product.
m. Relationship of Parties:The Licensee is an independent business or individual, and this agreement does not create a partnership, agency, joint venture, employment, or similar relationship between Changing Courses 11LLC and the Licensee. Neither party has the authority to enter into agreements on behalf of the other.
n. Severability: If any provision of this Agreement is found unenforceable, the remainder of the Agreement remains in full force.
o. Amendments:Changing Courses 11 LLC may amend this Agreement at its discretion. Licensee agrees to review and adhere to any changes. The Licensee consents to receive electronic notifications regarding modifications, updates, or changes to the license agreement. It is the Licensee's responsibility to regularly review the terms and stay informed of any alterations or amendments.
p. Licensee Responsibility: Licensee acknowledges their responsibility to understand the Product and its uses, representing it accurately in all marketing and promotional activities.
q. Community Obligations: Licensee agrees to uphold and enforce community guidelines and terms and conditions set by Sprout Socially, LLC
r. Prohibition of Affiliate Links: The licensee is strictly prohibited from using affiliate links or any form of affiliate marketing to promote or sell the “Roadmap 2.0” product. Any attempt to use affiliate links for the promotion or sale of the product will be considered a breach of this agreement and may result in immediate termination of the licensee’s rights under this agreement.
s. Use in Membership Sites:The licensee is permitted to include the “Roadmap 3.0” product as part of their membership site offerings. However, under no circumstances shall the licensee provide, offer, or transfer the resell rights of “ The Roadmap 3.0” digital download product to any membership subscribers, regardless of the amount spent or the level of membership tier. The product must be provided to members as a standalone product without any rights to further distribute or resell.
6. COMMUNITY ENGAGEMENT, AFFLIATE LINKS, MEMBERHIP SITES, and SCREEN RECORDING: The Licensee is explicitly forbidden from screen recording, capturing, or reproducing the 'Roadmap 3.0' product in any way with the intention of sharing, distributing, or reselling. Any unauthorized screen recording or reproduction of the product constitutes a violation of this agreement and may lead to legal action and the termination of the Licensee's rights under this agreement.
7. GRANT of LICENSE and PROHIBITED ACTIVITIES:
GRANT OF LICENSE: Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, transferable, and revocable right to resell the Product in accordance with the terms outlined in this Agreement.
PROHIBITED ACTIVITIES:As a user of the Services, you agree to use them only for their intended purpose. Prohibited activities include:
Product Name Alteration:Changing, modifying, or altering the original name of the Product provided by Changing Courses 11 LLC, original copyrighted material creators.
Unauthorized Data Retrieval: Systematically retrieving data or content from the Services or Product without written permission from Changing Courses 11 LLC, original creators copyrighted material.
Deceptive Practices:Engaging in activities to trick, defraud, or mislead Changing Courses 11 LLC and other users, especially attempting to obtain sensitive account information.
Security Interference: Circumventing, disabling, or interfering with security features of the Product, including those preventing copying of Content or enforcing limitations.
Disparagement: Disparaging, tarnishing, or harming the Product, potential competition, or Sprout Socially, LLC and its personnel, owners, partners, or anyone else identified by Sprout Socially, LLC
Harassment: Using information obtained from the Product to harass, abuse, or harm another person.
Misuse of Support Services: Making improper use of support services or submitting false reports of abuse or misconduct.
Legal Compliance:Using the Product in a manner inconsistent with applicable laws or regulations.
Unauthorized Framing or Linking: Engaging in unauthorized framing or linking to the Product.
Malicious Uploads: Uploading or transmitting viruses, Trojan horses, or other material that disrupts or interferes with the Product's use.
Removal of Copyright Notices: Deleting copyright or proprietary rights notices from any Content or the Product.
Impersonation: Attempting to impersonate another user or using the username of another Licensee of the Product.
8. INTERFERENCE,, HARRASSMENT, OWNERSHIP, and CONTINIOUS RESALE RIGHTS:
Interference:Interfere with, disrupt, or create an undue burden on the Product, Changing Courses 11, or the connected networks or services.
Harassment: Harass, annoy, intimidate, or threaten Sprout Socially employees, affiliates, owners, executive staff, or agents involved in providing the Product, Services, or Licensing.
Access Measures: Attempt to bypass any measures designed to prevent or restrict access to the Product or any of its portions.
Use of Agents:Use a buying agent or purchasing agent to make purchases of the Product.
9. OWNERSHIP vs. LICENSE of DIGITAL PRODUCT:
Purchase of Digital Product: Upon purchasing the 'Roadmap 3.0' product, the purchaser ("Licensee") acquires a personal, non-exclusive, transferable, and revocable license to access, use, and resell the product for personal or business purposes. This license allows usage and resale but does not transfer any intellectual property rights.
Intellectual Property Rights:All copyrights, patents, trademarks, trade secrets, and other intellectual property rights in the 'Roadmap 3.0' product remain the sole and exclusive property of original owners copyrighted material Changing Courses 11 LLC ("Licensor"). Purchasing the product does not grant the Licensee ownership rights or any intellectual property rights owned by the Licensor.
Continuous Resale Rights:The Licensee is permitted to resell the 'Roadmap 3.0' product to a third party without transferring their original rights. Upon resale, the Licensee retains their rights to the product, allowing them to continue reselling it to multiple parties. Each third-party buyer acquires a personal, non-exclusive, transferable, and revocable license to access, use, and resell the product under the same terms.
10. DOWNLOADING,OWNERSHIP CLARIFICATION, AND INDEMIFICATION::
Downloading a Copy: Permitted Actions: The Licensee is allowed to download the 'Roadmap 3.0' product for personal and business use. Multiple copies can be stored for backup, archival, or redundancy purposes. Additionally, the Licensee has the right to upload and host the product on their hosting platform or server.
Restrictions: However, any distribution, sharing, or public display of the product beyond the terms in this agreement is strictly prohibited. Downloaded and hosted copies remain subject to the terms and conditions outlined in this agreement.
Clarification on Ownership: Licensed Copy: Purchasing the 'Roadmap 3.0' product provides the Licensee with a licensed copy only. It does not grant any ownership rights to the intellectual property of the product or any other rights not explicitly mentioned in this agreement.
Indemnification: The Licensee agrees to indemnify, defend, and hold harmless, Changing Courses 11 (“Licensor”) and its officers, directors, employees, agents, affiliates, successors, and permitted assigns (collectively, “Indemnified Party”) against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind. This includes reasonable attorneys’ fees and the costs of enforcing any right to indemnification under this agreement, it also covers the cost of pursuing any insurance providers, arising out of or resulting from any claim by a third party related to, but not limited to: Breach or Non-Fulfillment: Indemnification covers any breach or non-fulfillment of representations, warranties, or covenants in this agreement or any other agreement contemplated hereby by the Licensee.
Use or Misuse: It includes any use or misuse of the 'Roadmap 3.0' product by the Licensee or any third party gaining access through the Licensee.Intellectual Property Infringement: Indemnification extends to any infringement of intellectual property rights arising from the Licensee’s unauthorized use or modification of the product.
11. TERMINATION: This Agreement starts on the Effective Date of Purchase and continues until terminated. Either party can terminate it at any time, with or without cause, by providing a written notice. Upon termination, all rights granted to the Licensee cease. The Licensee must cease all use, promotion, and sales of the Product. Confidential information or materials provided by the Licensor must be destroyed or returned within 10 days of termination. Termination does not affect surviving rights or obligations.
12. GOVERNING LAW: This Agreement is governed by the internal laws of the State of Virginia. Legal actions related to this Agreement shall be brought exclusively in federal courts of the United States or the courts of the State of Virginia in Stafford. Each party submits to the exclusive jurisdiction of such courts.
13. REVOCATION OF LICENSE Licensor reserves the right to revoke the license at any time for reasons including breaches, misuse of the product, or actions harming the Licensor's reputation or business interests. Upon revocation, the Licensee must immediately cease all use, promotion, and sales of the Product. Confidential information or materials must be destroyed or returned within 10 days of revocation.
14. UPDATES TO TERMS AND AGREEMENTS: Licensor reserves the right to update, modify, or replace any part of these Terms and Conditions by posting updates on their website. The Licensee is responsible for checking the website periodically for changes. Continued use of the product after updates constitutes acceptance of the modified terms.
15. 3RD PARTY PROTECTION: The Licensee acknowledges that Sprout Socially LLC’s licensors and service providers are third-party beneficiaries of this Agreement. They have the right to enforce the obligations concerning their respective technology and services.
16. CONFIDENTIALITY:: Both parties agree that during this Agreement, they may obtain confidential information about each other’s business. They commit to treating such information and the terms of this Agreement as confidential. Both parties will take reasonable precautions against disclosing such information to unauthorized third parties during and after the term of this Agreement. Upon request, all documents related to confidential information will be returned to the owner.
17. DISPUTE RESOLUTION Any disputes related to this Agreement shall be resolved through binding arbitration in Stafford, Virginia following the rules of the American Arbitration Association. The prevailing party is entitled to recover reasonable attorneys’ fees and costs.
18. REPRESENTATIONS AND WARRANTIES: Both parties represent and warrant that they have full authority to enter into and perform this Agreement. Their execution and performance will not breach any other agreement, and they will comply with all applicable laws, rules, and regulations.
19. COMPLIANCE WITH LAWS: The Licensee shall comply with all applicable laws, regulations, and ordinances in connection with its activities under this Agreement.
20 ASSIGNMENT: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, which shall not be unreasonably withheld.
21. FORCE MAJEURE: Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if it's due to causes beyond its reasonable control. This includes acts of God, war, strikes, labor disputes, embargoes, government orders, or any other force majeure event.
22. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES: Visiting the website, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications provided to you electronically, via email and on the website, satisfy legal requirements for written communication. You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and transaction records initiated or completed by us or via the website. You waive any rights or requirements under laws in any jurisdiction requiring an original signature or non-electronic records.
23. CORRECTIONS: There may be information on the website containing typographical errors, inaccuracies, or omissions related to the 'Roadmap 3.0' product, promotions, offers, product descriptions, pricing, and availability. We reserve the right to correct errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the website or related sites is inaccurate at any time without prior notice.
24. DISCLAIMER: The 'Roadmap 3.0' product is provided "as is" and "as available" without any representation, warranties, or conditions of any kind. This includes all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
25. MODIFICATIONS AND INTERRUPTIONS: We reserve the right to change, modify, or remove the contents of the 'Roadmap 3.0' product at any time or for any reason at our sole discretion without notice. Changes may include, but are not limited to, periodic content updates, feature additions, modifications, or removals.
26. California Residents: If you are a California resident, you have specific rights regarding access to your personal information under California Civil Code Section 1798.83, known as the "Shine The Light" law. This law allows California residents to request and obtain, once a year and free of charge, information about categories of personal information disclosed to third parties for direct marketing purposes. It also includes the names and addresses of all third parties with which personal information was shared in the immediately preceding calendar year. 27. ENTIRE AGREEMENT: This Agreement, along with any attached exhibits, constitutes the entire agreement between the parties regarding the subject matter. Any written or oral agreements existing before this Agreement are expressly canceled.
28. MISCELLANEOUS: Our failure to exercise or enforce any right or provision of these Terms and Conditions does not operate as a waiver of such right or provision. These Terms and Conditions operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We are not responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, that provision or part is deemed severable and does not affect the validity and enforceability of any remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms and Conditions or the use of the 'Roadmap 2.0' product. You agree that these Terms and Conditions will not be construed against us by virtue of having drafted them. You waive any defenses based on the electronic form of these Terms and Conditions and the lack of signing by the parties.
29. PERSONAL LINK AGREEMENT: Purpose of the Agreement:This Agreement outlines the terms and conditions for the Participant's use of the Personal Link provided by Changing Courses 11 to promote and bring individuals to the Changing Courses 11 community.
Personal Link: Changing Courses 11 provides the Participant with a unique”Personal Link” to track the number of individuals they bring into the Changing Courses 11 community.
30. NO AFFILIATION: a) The Participant understands the Personal Link is NOT an affiliate link. b) Using the Personal Link doesn't imply Changing Courses 11's endorsement or affiliation with the Participant’s business or marketing methods. c) The Participant agrees not to represent themselves as an affiliate or partner of Sprout Socially, LLC. YOU ARE NOT AN AFFILIATE TO THE ROADMAP 3.0
31. RESPONSIBLE PARTIES TO THE PARTICIAPANT a) The Participant agrees to actively participate in the Changing Courses 11 community, answer questions, and assist their customers. b) The Participant is solely responsible for customer satisfaction and any damages caused by their actions. c) The Participant agrees to uphold the values, guidelines, and standards set by Changing Courses 11 when interacting with potential and existing community members.
32. CONFIDENTIALITY: The Participant agrees to keep confidential any proprietary or non-public information about Changing Courses 11 or its community learned during their participation.
33. INDEMNIFICATION: The Participant agrees to indemnify and hold harmless Changing Courses 11 from any claims, damages, or losses resulting from their actions, misrepresentations, or any breach of this Agreement.
34.NON-DISPARAGMENT: The Participant agrees not to make any negative or disparaging statements about Changing Courses 11 or its community, both during and after the termination of this Agreement.
35.DATA PROTECTION AND PRIVACEY: The Participant agrees to comply with all applicable data protection laws and regulations. Any personal data collected through the Personal Link will be handled in accordance with Sprout Socially privacy policy.
36. LIMITATION AND LIABILITY:
Changing Courses 11 assumes NO LIABILITY for any damages caused by the Participant. The Participant is 100% responsible for their own actions and any consequences thereof.
37.TERM AND TERMINATION: This Agreement will continue indefinitely unless terminated earlier in accordance with its terms. Changing Courses 11, reserves the right to terminate this Agreement and revoke the Participant’s right to use the Personal Link if the Participant fails to fulfill their responsibilities or acts detrimentally to Sprout Socially, LLC.
38. DISPUTE RESOLUTION: Any disputes arising out of or in connection with this Agreement shall first be attempted to be resolved through amicable negotiations. If the parties cannot resolve the dispute, they agree to submit the dispute to binding arbitration in the State of Tennessee.
39. AMENDMENTS: Changing Courses 11reserves the right to amend this Agreement at any time. Participants will be notified of any changes through reasonable means, including but not limited to email or community communications.
40. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the State of Virgina.
41. RESTRICTED SHARING LINKS: a) The Participant agrees not to share any private or restricted links, including but not limited to the registration form link or the program sign-up link, without the express written permission of.Changing Courses 11 b) Unauthorized sharing of such links is a breach of this Agreement. c) In the event of unauthorized sharing, Changing Courses 11reserves the right to pursue the Participant under the law.

Amendment to Original Agreement 10-16-2023
1. Prohibition of Selling Under a False Name:
a) The Participant expressly agrees not to sell, distribute, or promote the “Roadmap 3.0” under any false, misleading, or unauthorized name, brand, or representation.
b) The Participant acknowledges that the “Roadmap 3.0” is the exclusive intellectual property of Changing Courses 11, and any unauthorized use, including selling under a false name, constitutes a breach of this Agreement and an infringement of Changing Courses 11intellectual property rights.
c) Any unauthorized use of the “Roadmap 3.0” will result in immediate termination of the Participant’s rights under the Original Agreement and may result in legal action for damages and injunctive relief.
2. Damages: In the event of a breach of this Amendment, Changing Courses 11reserves the right to pursue the Participant for damages, including but not limited to lost profits, damage to reputation, and any other consequential damages resulting from the unauthorized use of the “Roadmap 3.0”.
3. Entire Agreement: This Amendment, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties.
4. Governing Law: This Amendment shall be governed by and construed in accordance with the laws of the State of Tennessee
